The General Meeting is, in accordance with Swedish Companies Act, the highest decision-making body of Safeture. It is a forum where shareholders can exercise their right to decide on the company’s key affairs.

Articles of Association

Adopted by the General meeting held on June 4th, 2020.

§ 1. Company name

The company name is Safeture AB. The company is a public (publ) company.

§ 2. Registered office

The registered office of the company’s board of directors is in Lund municipality, County of Skåne, Sweden.

§ 3. Objects of the company

The company shall carry out the sending of messages, telecommunications and computer support, transmission of text, sound and images as well as activities compatible therewith.

§ 4. Share capital

The share capital shall be not less than SEK 1,855,498 and not more than SEK 7,421,992.

§ 5. Number of shares

The number of shares in the company shall be not less than 23 193 725 and not more than 92 774 900.

§ 6. Board of directors

The Company’s Board of Directors shall consist of a minimum of three (3) and a maximum of eight (8) Directors.

§ 7. Auditors

For the review of the company’s annual report and the management of the board and the managing director, one or two auditors with or without deputies must be appointed or a registered audit firm.

§ 8. Convening of general meeting

Notice of the general meeting must always be given by advertisement in the Swedish Official Gazette and on the company’s website. It shall be announced in Svenska Dagbladet that notice of a general meeting has been made. If publication of Svenska Dagbladet were to cease, advertising must instead take place through Dagens Industri.

§ 9. Notification of attendance and right to attend the general meeting

Shareholders who have been entered in the share register in the manner prescribed in chapter 7, section 28, paragraph 3 of the Swedish Companies Act and who have registered with the company no later than the day stipulated in the notice convening the General Meeting, have the right to participate in the meeting. This day must not be Sunday, another public holiday, Saturday, Midsummer’s Eve, Christmas Eve or New Year’s Eve and not fall earlier than the fifth weekday before the meeting. If shareholders intend to bring assistants, the number of assistants must be stated in the notification.

§ 10. General meeting

The annual general meeting must be held annually within six (6) months after the end of the financial year.

The following items shall be addressed at the annual general meeting:

1. Election of chairman of the general meeting.
2. Drawing up and approval of the voting list.
3. Approval of the agenda.
4. Selection of one or two adjusters.
5. Determination of whether the general meeting has been duly convened.
6. Submission of annual report and audit report and, where applicable, consolidated financial statements and consolidated audit report.
7. Resolutions regarding
a) the determination of the income statement and balance sheet and the consolidated income statement and consolidated balance sheet,
b) dispositions of the company’s profit or loss in accordance with the established balance sheet, and
c) discharge of liability for the members of the board and the managing director.
8. Determining the number of board members and the number of auditors and deputy auditors.
9. Determination of the remuneration to the board and the auditors.
10. Election of the board, as well as auditors, or audit firms, and any deputy auditors.
11. Other matters to be addressed by the General Meeting in accordance with the Swedish Companies Act or the Articles of Association.

§ 11. Financial year

The company’s financial year is a calendar year.

§ 12. Reconciliation clause

The shareholder or manager who on the record date is entered in the share register and recorded in a record register, according to ch. 4 the act (1998:1479) on securities centers and account-keeping of financial instruments or the one recorded in the reconciliation account according to chapter 4. Section 18 first paragraph 6 – 8 of the said law, shall be assumed to be competent to exercise the rights that appear in ch. 4. Section 39 of the Swedish Companies Act (2005:551).
